Two or more associations with similar objectives can combine resources, assets and members to form a completely new and independent incorporated association.

Before you start

Where two or more incorporated associations propose to amalgamate, each association must hold its own separate meetings of members, to pass a special resolution approving the amalgamation.

  • All members must have at least 21 days written notice of the meeting to vote on the special resolution to amalgamate.
  • At the meeting, at least 75% of voting members must vote in favour of the resolution for it to pass.

If passed by all associations, an application can be lodged.

The name of the amalgamated association can be the same name as one of the existing associations. It can also be a new name.

What you'll need

An application to amalgamate must include:

  • a copy of the special resolution passed by each of the incorporated associations supporting the amalgamation
  • signed minutes from the meetings where the special resolutions were voted on and passed
  • the rules of the new proposed amalgamated association
  • a copy of any documents related to a trust.

CBS will take into account the same considerations as an application for a new association.

What happens next

Once the process is complete, the old associations are taken to be closed and the new amalgamated association:

  • becomes the registered entity
  • takes on the liabilities of each association
  • takes on the assets of each association
  • takes on the rights and responsibilities of each association
  • takes on any pending proceedings against any of the associations.

The members of each association then become members of the new amalgamated association.
